The Problem

Domestic contracts between companies and clients are critical yet often routine.

  • Internationally, it’s a whole other ballgame. Even the term “contract” can be a stumbling block between a company and its international prospect or client
This company needed to assure that the scope of work and financial payment were legally binding for its new global product.

  • An added complexity was that contract negotiations with the client were held by the company’s local client manager, a step removed from the company’s product manager and law firm


The Solution

Carolyn Picciotti:

  • Led discussions with local client manager to understand client’s issues and needs
  • Drafted business terms and worked with the law firm to draft contract language for consideration by the client manager and client
When disagreements surfaced:

  • Carolyn facilitated point-by-point review, and appropriate compromises were reached



The Result

Blending sensitivity and firmness:

  • Final contracts were drawn that protected the company in necessary areas while meeting the needs of the client and client manager
